By accessing or using the Vouch platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Vouch is a marketplace platform that connects brands with content creators on TikTok and Instagram. Brands can create campaigns and pay creators for authentic content. Creators can discover campaigns, create content, and earn money.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account and password.

3.2 Account Types

You may register as either a "Creator" or a "Brand." Your account type determines the features and services available to you.

3.3 Verification

Creators must verify their TikTok account to use the platform. Brands must provide accurate business information. We reserve the right to verify any information you provide.

4. Creator Obligations

  • Create authentic, original content that complies with campaign requirements
  • Disclose sponsored content in accordance with applicable laws (e.g., using #Ad hashtag)
  • Comply with TikTok and Instagram's terms of service
  • Submit content for verification before receiving payment
  • Maintain the quality and authenticity of your content

5. Brand Obligations

  • Provide accurate campaign requirements and guidelines
  • Fund campaigns before they go live
  • Review and approve or reject creator submissions in a timely manner
  • Pay creators promptly upon content approval
  • Comply with all applicable advertising and disclosure laws

6. Payments and Fees

6.1 Creator Payments

Creators receive payment after their content is approved by the brand. Payment amounts are determined by the brand and specified in the campaign details.

6.2 Brand Fees

Brands may be charged platform fees for using the Service. All fees will be clearly disclosed before you commit to a campaign.

6.3 Refunds

Refund policies are determined on a case-by-case basis. Generally, payments to creators are final once content is approved.

7. Content Ownership and Rights

Creators retain ownership of their content. By submitting content through the platform, creators grant brands the right to use, display, and share the content for marketing purposes related to the campaign.

8. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose
  • Impersonate any person or entity
  • Submit false, misleading, or fraudulent information
  • Interfere with or disrupt the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated systems to access the Service without permission
  • Create content that violates any third-party rights

9. Intellectual Property

The Service and its original content, features, and functionality are owned by Vouch and are protected by international copyright, trademark, and other intellectual property laws.

10. Account Termination and Data Deletion

10.1 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

10.2 Termination by You

You may delete your account at any time through your profile settings. Upon account deletion:

  • Your account and profile will be permanently deleted
  • All personal data will be removed from our active systems within 24 hours
  • Complete deletion from backups may take up to 30 days
  • You will lose access to all platform features and data
  • Pending transactions may be processed according to our payment policies

10.3 Data Deletion Obligations

In compliance with TikTok, Meta (Instagram/Facebook), and Apple requirements:

  • TikTok: All TikTok OAuth tokens and platform data are immediately deleted upon account termination, in compliance with TikTok's Developer Terms of Service
  • Meta: Instagram OAuth tokens and connection data are deleted immediately, with complete removal within 90 days as required by Meta policies
  • Apple: Account deletion is easily accessible within the app, and all user data is permanently deleted upon termination

10.4 Data Retention After Termination

Certain data may be retained after account deletion when required by law, including:

  • Financial records for accounting and tax purposes (typically 7 years)
  • Data required for legal proceedings or regulatory compliance
  • Data necessary to prevent fraud, abuse, or security threats
  • Anonymized or aggregated data that cannot be used to identify you

11. Platform Compliance

11.1 TikTok Compliance

Our use of TikTok's API and services is subject to TikTok's Developer Terms of Service and Data Sharing Agreement. By using our platform with TikTok, you agree that:

  • We will only use TikTok data for the purposes defined in our integration
  • We will delete all TikTok data immediately upon account termination or when our integration ends
  • We comply with TikTok's data retention and deletion requirements
  • We respect TikTok's user privacy and data protection standards

11.2 Meta (Instagram/Facebook) Compliance

Our use of Meta's APIs and services is subject to Meta's Terms of Service and Platform Policies. By using our platform with Instagram, you agree that:

  • We comply with Meta's data deletion and retention requirements
  • We respect Meta's data minimization principles
  • We delete Instagram data within 90 days of account deletion as required by Meta
  • We comply with Meta's advertising and content policies

11.3 Apple App Store Compliance

Our mobile application complies with Apple App Store guidelines, including:

  • Providing easy account deletion within the app
  • Clear explanation of data collection and usage
  • Compliance with Apple's privacy requirements
  • Respect for user data rights and privacy

12. Data Protection and Privacy

We are committed to protecting your personal information and complying with applicable data protection laws, including:

  • GDPR (General Data Protection Regulation): For users in the European Economic Area
  • CCPA/CPRA (California Consumer Privacy Act): For California residents

13. Disclaimers

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on this page and updating the "Last Updated" date. For significant changes, we may also notify you via email or through the app.

Your continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and delete your account.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Vouch operates, without regard to its conflict of law provisions.

For users in the European Economic Area, these Terms are subject to mandatory consumer protection laws of your country of residence.
